These Terms of Service ("Terms" or "Terms of Service") apply to your use of our website at https://uniped.ai, which is operated by Uniped.ai. Our Privacy Policy also applies to your use of our services and explains how we collect, safeguard, and disclose information that results from your use of our web pages. Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). You acknowledge that you have read and understood these Agreements and agree to be bound by them. If you do not agree with (or cannot comply with) these Agreements, you may not use the Service, but please let us know by emailing support@uniped.ai so we can try to find a solution. These Terms apply to all visitors, users, and others who wish to access or use the Service.

Communications

By creating an account on our service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing support@uniped.ai.

Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information. You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete.

We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to product or service availability, errors in the description or price of the product or service, error in your order, or other reasons. We reserve the right to modify the output or input charged per word count or impose any hourly usage limits based on our model capacity, regardless of what was promised at the time of subscription. These changes will be made based on our model capacity to safeguard the interests of all users and ensure uniform access to the service. We take this step to provide equal opportunity to every user and protect the quality of our service.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, or other promotions (collectively, "Promotions") made available through the Service may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, the Promotion rules will apply.

Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Uniped.ai cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Uniped.ai customer support team.

A valid payment method, including credit card, PayPal, or other methods, is required to process the payment for your Subscription. You shall provide Uniped.ai with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Uniped.ai to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Uniped.ai will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Free Trial

Uniped.ai may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").

You may be required to enter your billing information in order to sign up for the Free Trial.

If you do enter your billing information when signing up for the Free Trial, you will not be charged by Uniped.ai until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

At any time and without notice, Uniped.ai reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer.

Fee Changes

Uniped.ai, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Fair Usage Policy (FUP)

Uniped.ai is committed to providing a high-quality and reliable service to all users. We expect all users to avoid abusive or excessive use of our services. Excessive use by individual users can impact the quality of service for other users. We encourage users to choose plans that match their professional needs and business scale. High-volume users should consider upgrading to more robust plans, request custom plan proposals, or utilize our business API.

The vast majority of users (over 95%) always operate within the defined parameters. Exceeding these parameters may result in restricted or reduced access to the service, potentially without prior warning.

To maintain the security and quality of the service, our systems strictly monitor automated or bot-like behavior. Please note that sharing login information for unlimited accounts for economic benefit is considered illegal. Each seat is intended for use by a single individual user, and multiple users sharing one account is not permitted.

Warning: Please be aware that abnormally high usage or sharing of login information may result in account suspension or deletion without notice and without the possibility of a refund.

Prohibited Uses

You may only use the Service legally and in accordance with the Terms. You agree not to use the Service in any way that violates applicable national or international laws or regulations.

We strictly prohibit the following behaviors:

• Using our services for any illegal or improper activities;

• Using the service for any activities harmful to minors or attempting to harm minors;

• Sending or causing to send any advertising or promotional materials, including any "junk mail", "chain letter", or any other similar solicitation;

• Impersonating the company, company employees, other users, or any other individual or entity;

• Infringing on others' rights, or engaging in any illegal, threatening, fraudulent, or harmful activities, or related to any unlawful, illegal, fraudulent, or harmful purpose or activity;

• Engaging in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm or offend the Company or users of the Service or expose them to liability.

Furthermore, you agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service, including their ability to engage in real-time activities through the Service;

• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service;

• Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent;

• Use any device, software, or routine that interferes with the proper working of the Service;

• Introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful;

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service;

• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack;

• Take any action that may damage or falsify Company rating;

• Otherwise attempt to interfere with the proper working of the Service.

Analytics

We may use third-party Service Providers to monitor and analyze the use of our Service.

Google Analytics

Google Analytics is a web analytics service offered by Google that tracks and reports website traffic. Google uses the data collected to track and monitor the use of our Service. This data is shared with other Google services. Google may use the collected data to contextualize and personalize the ads of its own advertising network.

No Use By Minors

The Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using the Company Service, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of the Terms. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of the Service.

Account

When you create an account with us, you guarantee that you are over the age of 18, and that the information you provide us is accurate, complete, and up to date at all times. Providing inaccurate, incomplete, or outdated information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name or trademark of another person or entity or one that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

Intellectual Property
The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Uniped.ai and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Uniped.ai.

Copyright Policy
We respect the intellectual property rights of others. If we receive any complaint that Content posted on the Service infringes on the copyright or other intellectual property rights ("Infringement") of any person or entity, we will respond in accordance with our policy.

If you are a copyright owner, or authorized on behalf of one, and you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please submit your complaint via email to support@uniped.ai with the subject line: "Copyright Infringement" and include in your complaint a detailed description of the alleged Infringement.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresenting that any Content is infringing your copyright, or for false or malicious complaints of copyright infringement regarding Content found on the Service.

Digital Millennium Copyright Act (DMCA) Notice and Procedure for Copyright Infringement Claims
You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest;

• A description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;

• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

Limitation of Liability

Except where prohibited by law, you will hold us and our officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damage, however it arises (including attorneys' fees and all related costs and expenses of litigation and arbitration, or at trial or on appeal, if any, whether or not litigation or arbitration is instituted), whether in an action of contract, negligence, or other tortious action, or arising out of or in connection with this agreement, including without limitation any claim for personal injury or property damage, arising from this agreement and any violation by you of any federal, state, or local laws, statutes, rules, or regulations, even if the company has been previously advised of the possibility of such damage. Except where prohibited by law, if there is liability found on the part of the company, it will be limited to the amount paid for the products and/or services, and under no circumstances will there be consequential or punitive damages. Some states do not allow the exclusion or limitation of punitive, incidental or consequential damages, so the prior limitation or exclusion may not apply to you.

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, at our sole discretion, for any reason including but not limited to a breach of the terms.

If you wish to terminate your account, you may simply discontinue using the service.

Service Changes

We reserve the right to withdraw or amend our service, and any service or material we provide via the service, without notice. We will not be liable if for any reason all or any part of the service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the service, or the entire service, to users, including registered users.

Terms Revision
We may modify the terms at any time by posting revised terms on this website. It is your responsibility to review these terms regularly.

Your continued access or use of our platform indicates your acceptance and agreement to the changes. You should frequently check this page to stay informed of any changes, as they are binding on you.
